Terms and Conditions of Sale

1. Purpose

These terms and conditions of sale ("Terms") govern the provision by Olivier Remacle ("ORMdoo"), Switzerland, of Odoo hosting services on dedicated infrastructure, subscribed to via the ORMdoo platform.

2. Service description

ORMdoo provides a dedicated virtual private server (VPS) per client, on which one or more Odoo instances (Community or Enterprise edition depending on the plan) are installed and managed, including:

  • A dedicated VPS, not shared with other clients
  • An SSL certificate (Let's Encrypt) automatically generated and renewed
  • An admin interface to manage instances (start, stop, backup, restore, add modules)
  • Infrastructure-level support (email or priority depending on the plan)

Technical specifications (vCPU, RAM, storage, maximum number of instances) and the support level for each plan (Starter, Pro, Business) are detailed on the ORMdoo platform's pricing page.

3. Pricing and billing

  • Monthly or annual billing, depending on the choice made at signup
  • Payment by card via Stripe (third-party payment provider, PCI-DSS compliant) — ORMdoo stores no card data
  • Prices are shown tax-included where applicable, in the currency displayed at signup (CHF, EUR or USD depending on the client's location)
  • Any price change is communicated to the client at least 30 days before it takes effect for existing subscriptions

4. Term and cancellation

  • The subscription has no fixed term: it renews automatically at each billing cycle (monthly or annual) unless cancelled
  • The client may cancel at any time from their account area; cancellation takes effect at the end of the already-paid period (no pro-rata refund)
  • ORMdoo reserves the right to suspend or terminate a subscription in case of non-payment, abusive use of the infrastructure, or illegal use, after prior email notice except in case of security emergency

5. Backups

  • An automatic daily backup is performed for each active production instance, with a retention of 7 daily, 4 weekly and 3 monthly backups
  • The client may also trigger manual backups at any time from the admin interface
  • ORMdoo uses reasonable means to ensure backup reliability, without an absolute guarantee of availability under all circumstances (major hardware failure, force majeure); the client is advised to periodically verify the restorability of their own backups

6. Service availability

ORMdoo uses reasonable means to ensure continuous service availability, hosted with a professional infrastructure provider (Infomaniak, Switzerland). The service is however not guaranteed uninterrupted: planned maintenance operations may cause brief unavailability, notified in advance whenever possible.

7. Client obligations

The client agrees to:

  • Use the service in accordance with the law (no illegal content, no use for spam, hacking, or fraudulent activity)
  • Keep their access credentials confidential
  • Not attempt to circumvent the technical limits of the subscribed plan

8. Data reversibility and export

At any time during the subscription, and upon cancellation, the client may export all of their data (PostgreSQL database + files) in standard Odoo format, directly from the admin interface. Client data is deleted from the VPS within 24 hours of effective cancellation, unless the client requests otherwise.

9. Liability

ORMdoo shall not be liable for indirect damages resulting from use of the service (loss of business, data loss resulting from the client's negligence in checking their backups, etc.). ORMdoo's liability, if established, is limited to the amount paid by the client over the past 3 months.

10. Governing law and jurisdiction

These Terms are governed by Swiss law. Any dispute falls under the exclusive jurisdiction of the courts of the Canton of Vaud, subject to mandatory consumer protection provisions applicable in the client's country of residence.

11. Changes to these Terms

ORMdoo may amend these Terms at any time. Active clients are notified by email of any substantial change, which takes effect at the subscription's next renewal.
